By accessing or using the AgentAscend platform, website, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Services

AgentAscend provides an AI x Web3 ecosystem for deploying and orchestrating autonomous AI agents. Our platform enables users to create, deploy, and manage intelligent digital workers that can execute tasks across decentralized networks. The specific features and functionality of the Services may change over time at our discretion.

4. ASND Token

The ASND token is a utility token used within the AgentAscend ecosystem. By acquiring or using ASND tokens, you acknowledge and agree that:

  • ASND tokens are not securities, investment contracts, or any form of investment
  • ASND tokens do not represent any ownership, equity, or voting rights in AgentAscend
  • The value of ASND tokens may fluctuate and you may lose some or all of your purchase
  • You are solely responsible for any tax obligations arising from your use of ASND tokens
  • ASND tokens are subject to applicable laws and regulations in your jurisdiction

5. User Responsibilities

When using our Services, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your wallet and credentials
  • Comply with all applicable laws and regulations
  • Not use the Services for any illegal or unauthorized purpose
  • Not attempt to interfere with or disrupt the Services
  • Not engage in any activity that could harm other users or the platform

You may not use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in market manipulation, fraud, or deceptive practices

The Services, including all content, features, and functionality, are owned by AgentAscend and are protected by intellectual property laws. You retain ownership of any content you submit to the platform, but grant us a license to use, display, and distribute such content in connection with the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTASCEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Risk Acknowledgment

By using the Services, you acknowledge and accept the following risks:

  • Cryptocurrency and blockchain technology are experimental and carry significant risks
  • Smart contracts may contain bugs or vulnerabilities
  • Regulatory changes may affect the availability or legality of the Services
  • You may lose access to your tokens or assets due to lost keys or technical issues
  • AI agents may produce unexpected or undesired outputs

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentAscend and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

12. Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
